Seller Shipping Terms and Conditions

1. INTRODUCTION & ACCEPTANCE

1.1 Purpose of These Terms
These Shipping Terms & Conditions (“Terms”) govern all inbound and outbound shipments involving Cooltimepieces LLC dba WatchGuys (“CTP LLC,” “us,” “our,” or “we”). By using any shipping label, packaging, insurance, or other service provided by CTP LLC (collectively, “Shipping Services”), you (“you,” “your,” or “the customer”) acknowledge that you have read, understand, and agree to these Terms in their entirety.

1.2 Scope of Application
These Terms apply to (i) shipments you send to CTP LLC (“Inbound Shipments”); and (ii) shipments you receive from CTP LLC (“Outbound Shipments”), including all watches, timepieces, jewelry, or related accessories (collectively, “Items”).

1.3 Binding Agreement
Your use of our Shipping Services constitutes your agreement to be legally bound by these Terms. If you do not agree, do not proceed with sending or receiving any shipment through CTP LLC.

1.4 Revisions & Modifications
CTP LLC may update or modify these Terms at any time without prior notice. The version in effect at the time of shipment will govern that particular shipment. The most current version will be provided upon request or posted in relevant communications.

1.5 No Legal Advice
These Terms are provided solely for informational purposes and to set forth contractual obligations; they do not constitute legal advice to you. CTP LLC strongly recommends that you consult your own legal counsel for any questions regarding your rights and obligations.

 


 

2. INBOUND SHIPMENTS (SENDING ITEMS TO CTP LLC)

2.1 Complimentary FedEx Shipping Labels

2.1.1 Provision of Labels

  • CTP LLC, at its sole discretion, provides complimentary FedEx shipping labels exclusively for approved sellers and explicitly authorized transactions. Labels issued are strictly limited to the specific transaction agreed upon in writing between CTP LLC and the seller and must not be reused, shared, altered, or otherwise repurposed for any other transaction or purpose.

  • Any labels obtained through the “Request a Label” page, link, or any other electronic or physical means provided by CTP LLC require explicit prior written authorization or notification from CTP LLC before usage. Use of any shipping label without such prior written consent or notification from CTP LLC constitutes unauthorized use. Unauthorized use immediately voids any insurance coverage, and CTP LLC explicitly disclaims any responsibility or liability for loss, theft, damage, or any other claims arising from such unauthorized use.

2.1.2 Scope & Limitations

  • Each shipping label provided by CTP LLC is tied explicitly to a unique and pre-approved transaction, is valid for single use only, and may not be applied to any item or shipment other than what has been previously disclosed and agreed upon by both parties. Use of the provided shipping label for undisclosed items, personal shipments, or any other unauthorized purpose will automatically void insurance or liability coverage provided by CTP LLC.

2.1.3 Accurate Description

  • You must provide complete, honest, and accurate information regarding the Item(s) being shipped. Misrepresentations of brand, model, condition, authenticity, or value can result in denial of coverage and/or refusal of the shipment. You are required to submit clear photographs of the actual watch being shipped prior to shipment.

  • For your own records and protection, we strongly recommend video documenting the entire shipping process — starting with the watch being securely packaged to capture its condition, and continuing through to the moment the sealed package is handed directly to an employee at an authorized FedEx Print & Ship location.

2.2 Insurance Coverage for Inbound Shipments

2.2.1 Insured under CTP LLC Policy

  • Inbound shipments sent with our FedEx label may be covered under CTP LLC’s own third-party insurance policy. You acknowledge that only CTP LLC is named and covered by such insurance; you are not an insured party or additional insured.

2.2.2 Coverage Requirements

  • Mandatory Use of Our Label: The provided FedEx shipping label must be used exactly as instructed.

  • Adherence to Packaging Guidelines: You must follow all packaging instructions outlined in Section 2.3.

  • Declared Value: Coverage is limited to the pre-agreed value for the Item(s). Any unapproved higher valuation is not covered.

2.2.3 Voidance of Coverage
Insurance coverage may be voided, and you may forfeit your right to compensation, under any of the following circumstances:

  • You misstate, misrepresent, or omit critical details about the Item, including but not limited to brand, model, condition, authenticity, or value.

  • Use of a shipping label for any Item not explicitly approved by CTP LLC in writing — including unauthorized use of the “Request a Label” link as described in Section 2.1.1 — will void all insurance coverage.

  • Packaging requirements are not properly followed, resulting in increased risk of damage, loss, or tampering.

  • Shipment occurs outside of the method, carrier location, or timeframe specifically designated by CTP LLC.

  • You fail to retain or provide sufficient supporting evidence (as described in Section 2.1.3), including clear photos, video documentation, and drop-off confirmation.

  • You attempt to initiate a claim independently with any shipping carrier, insurance provider, or third-party entity without CTP LLC’s written consent. Such actions will immediately void any right to reimbursement.

Coverage is extended solely at the discretion of CTP LLC and our insurer, and any breach of these conditions may result in denial of liability or compensation.

2.2.4 Claims Handling

  • CTP LLC Administers Claims: In the event of loss, theft, or damage during transit, CTP LLC will handle all aspects of the insurance claim process directly with our insurer. You acknowledge and agree that CTP LLC retains sole authority to file, manage, and resolve any such claims.

  • No Direct Rights: You, as the sender, have no direct right to initiate, file, or negotiate claims with our insurer. Any attempt to independently initiate a claim, contact the insurer, or involve any third-party shipping or insurance entity will result in immediate forfeiture of your eligibility for compensation or reimbursement from CTP LLC.

  • Evidence Requirement: You may be required to provide supporting evidence to substantiate any claim. If the provided documentation (as outlined in Section 2.1.3) is incomplete or insufficient in CTP LLC’s sole judgment, a claim or investigation may not be initiated.

  • Timeframe & Business Operations: All claims will be reviewed and processed at the sole discretion and availability of CTP LLC. Claim timelines are not guaranteed, and CTP LLC reserves the right to handle such matters in accordance with its regular business operations. You acknowledge that claim handling is not prioritized over core business activities.

  • No Consequential Damages: CTP LLC shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of potential profit, sentimental value, or market fluctuation. Total liability shall not exceed the pre-agreed value of the item.

2.3 Packaging Guidelines (Inbound)

2.3.1 Use a New, Unused Shipping Box

  • You must use a new, unmarked, undamaged FedEx box to minimize tampering and ensure structural integrity.

2.3.2 Double Boxing

  • Place the Item (ideally in its original watch box, if available) inside a secure inner container. Then place the inner container into a sturdier outer box with ample protective materials (bubble wrap, foam, etc.).

2.3.3 Sealing & Labeling

  • Seal all box seams with strong packing tape.

  • Affix the FedEx shipping label to the outer box in a clearly visible, unobstructed position.

  • Remove or obscure any old labels or barcodes to avoid misrouting.

2.3.4 Documentation

  • CTP LLC strongly recommends photographing or video-recording the packaging process to document the Item’s condition and compliance with these guidelines.

2.3.5 Consequences of Non-Compliance

  • Failure to comply with these packaging requirements may, at CTP LLC’s discretion, result in denial of insurance coverage or refusal of receipt.

2.4 Ownership, Authority & Authenticity

2.4.1 Legal Title

  • By shipping any Item to CTP LLC, you represent and warrant that you hold clear legal title, or are fully authorized by the legal owner, to sell or transfer the Item(s).

2.4.2 Authenticity

  • All Items must be genuine and free of liens, encumbrances, or outstanding claims. Sending counterfeit, unlawfully obtained, or otherwise misrepresented Items is strictly prohibited and may lead to legal action.

2.4.3 Prohibition Against Fraud

  • If CTP LLC determines, at its sole discretion, that the shipped Item is counterfeit, stolen, or otherwise non-authentic, we may return the Item to you or surrender it to law enforcement. CTP LLC reserves all rights to pursue legal remedies.

2.5 Pricing & Final Offer

2.5.1 Initial Quotation

  • Quoted prices provided before physical inspection are estimates based on the information you supply. Such quotes are not final or binding.

2.5.2 Evaluation & Adjustments

  • Upon receipt, CTP LLC’s experts will inspect the Item(s). If any undisclosed issues (e.g., aftermarket parts, missing links, rust, or damage) are found, we may adjust the offer or refuse to purchase.

2.5.3 Approval & Payment

  • CTP LLC will notify you of any revised offer. No payment is issued unless and until you accept the final offer in writing (which may be via email).

2.5.4 Right of Refusal

  • If the Item significantly deviates from its described condition or violates these Terms, CTP LLC reserves the right to decline purchase entirely, returning the Item(s) to you at no additional cost.

2.6 Tracking & Delivery Confirmation

2.6.1 Responsibility to Track

  • You are responsible for tracking the shipment through the FedEx system until it is delivered to CTP LLC. Retain all documentation (shipping label, receipts, etc.) in case of disputes or delays.

2.6.2 Timely Notice of Issues

  • Any suspected loss, delay, or irregularity must be reported to CTP LLC in writing (email is acceptable) within 30 calendar days of the shipment date. Failure to timely report may forfeit any potential claim or remedy.

 


 

3. OUTBOUND SHIPMENTS (RECEIVING ITEMS FROM WATCHGUYS)

3.1 Insurance Coverage & Delivery

3.1.1 Coverage Period

  • Outbound shipments are insured from the moment CTP LLC tenders the package to the designated carrier until either:

    1. The carrier confirms delivery with an adult signature, or

    2. 14 days from the date of shipment, whichever is earlier.

3.1.2 Voidance of Outbound Insurance

  • Insurance for your outbound package is void if you:

    1. Waive the adult signature requirement or request a “no signature” release.

    2. Authorize the carrier to leave the package unattended.

    3. Redirect the shipment to an address not approved in writing by CTP LLC.

3.1.3 Coverage Limits

  • Unless otherwise stated in writing, the maximum insurance coverage is limited to the Item’s actual purchase price. No additional or special coverage applies unless specifically noted and agreed upon in writing.

3.2 Delivery Inspection Requirement

3.2.1 Inspection Upon Receipt

  • You (or your authorized recipient) must inspect the package for signs of damage, tampering, or improper sealing in the presence of the carrier.

3.2.2 Refusal of Compromised Shipments

  • If the package appears compromised, refuse delivery and have the carrier document the issue. Accepting a compromised package without documentation waives your right to file a claim.

3.2.3 Completion of Delivery

  • Once the carrier records a valid delivery signature at the approved address, or you otherwise accept delivery, the package is considered delivered. CTP LLC’s liability and insurance coverage end at that point.

3.3 Reporting & Claims

3.3.1 Notice Deadlines

  • Any issues with an outbound shipment (damage, misdelivery, non-receipt) must be reported in writing to CTP LLC at sales@watchguys.com within 30 calendar days of shipment. If you refused delivery and it is returning, you have 45 calendar days from the original shipment date to report issues.

3.3.2 Time-Bar

  • If you do not report an issue within the stated timeframe, CTP LLC is released from any liability or duty to assist with claims, and all related insurance coverage is void.


 

4. GENERAL TERMS (APPLICABLE TO ALL SHIPMENTS)

4.1 Limitation of Liability

4.1.1 Default Liability Limit

  • Unless a higher value has been expressly declared and confirmed in writing by CTP LLC prior to shipment, our maximum liability per shipment (inbound or outbound) is $100.00 USD.

4.1.2 No Indirect or Consequential Damages

  • CTP LLC is not liable for any indirect, special, incidental, punitive, or consequential damages, including but not limited to lost profits, reputational harm, or loss of market value.

4.1.3 Not an Insurer for You

  • You understand and agree that while CTP LLC may carry its own insurance for Items in transit, you are not a named or additional insured on that policy, and no third-party beneficiary rights are granted.

4.2 Exclusions & Non-Covered Events

The following are always excluded from coverage or liability, regardless of any declared value:

  1. Visible Package Tampering Accepted Without Carrier Documentation: If you accept a visibly damaged or opened package without the carrier’s written acknowledgment, you waive all claims.

  2. Misaddressed or Misused Labels: Shipments that do not follow the exact labeling instructions from CTP LLC.

  3. Unapproved Methods: Shipping via any carrier or method other than the one specified by CTP LLC.

  4. Force Majeure: Losses arising from war, natural disasters, government seizures, labor strikes, cyberattacks, or other events beyond CTP LLC’s reasonable control.

  5. C.O.D. or Carrier-Collected Funds: Any amounts meant to be collected by the carrier at the time of delivery.

  6. Non-Compliance with Laws: Any shipment contravening export/import regulations or other legal requirements.

4.3 Time-Bar for Claims

4.3.1 One-Year Statute of Limitations

  • Any legal claim or demand (insurance-related, breach of contract, or otherwise) against CTP LLC must be commenced in writing within one (1) year of the underlying shipment date. Claims not initiated within this period are permanently barred.

4.4 Dispute Resolution & Arbitration

4.4.1 Binding Arbitration Clause

  • Except where prohibited by law, all disputes or claims relating to these Terms or the Shipping Services provided by CTP LLC shall be resolved exclusively by binding arbitration administered in Los Angeles, California, under the Commercial Rules of the American Arbitration Association.

4.4.2 No Class Actions

  • You agree to bring any dispute solely on an individual basis, waiving any right to class, collective, or representative actions.

4.4.3 Three-Arbitrator Panel

  • The arbitration will be heard by a panel of three arbitrators, each with professional expertise in transportation, insurance law, and/or commercial disputes. The arbitrators’ decision shall be final and binding on the parties.

4.4.4 Costs & Fees

  • Each party shall bear its own attorneys’ fees and costs unless the arbitrators determine otherwise. The arbitration award may be confirmed in any court of competent jurisdiction.

4.5 Governing Law & Venue

4.5.1 Choice of Law

  • These Terms and any disputes arising hereunder will be governed exclusively by the laws of the State of California, without giving effect to any conflict-of-law rules that would result in the application of another jurisdiction’s laws.

4.6 No Waiver

4.6.1 Preservation of Rights

  • Failure by CTP LLC to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized CTP LLC representative.

4.7 Severability

4.7.1 Partial Invalidity

  • If any clause, sentence, or paragraph of these Terms is held invalid or unenforceable by a court or arbitration panel of competent jurisdiction, the remainder of the Terms shall remain in full force and effect.

6. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and CTP LLC regarding the shipment of Items (both inbound and outbound) and supersede all prior or contemporaneous oral or written understandings, communications, or agreements. By proceeding with any shipment through or to CTP LLC, you affirm that you have read and accepted these Terms in their entirety.
